Sprout Network Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Growth Chain LLC, a limited liability company registered in the State of Wyoming ("Growth Chain," "we," "us," or "our").

By accessing or using the Sprout Network mobile application (the "App" or "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any provision of these Terms, you must immediately discontinue use of the App.

2. Modifications to the Terms

We reserve the right to amend these Terms at any time. Updated versions will be posted in the App or on our website, and the "Effective Date" will reflect the revision. Continued use of the Service after such changes constitutes your acceptance of the modified Terms.

3. Eligibility

To use the Sprout Network App, you must:

• Be at least 18 years old
• Reside in a jurisdiction that is not subject to U.S. economic sanctions
• Not be located in or ordinarily resident in: North Korea, Iran, Syria, Cuba, Crimea, Donetsk People's Republic (DNR), or Luhansk People's Republic (LNR)
• Have full legal capacity to enter into this agreement and use the Service lawfully

You are solely responsible for ensuring that your use of the App complies with all applicable laws and regulations in your jurisdiction.

4. Account Registration and Security

To access the App, you must create an account using a valid email address and secure password, or through Apple or Google authentication. By registering an account, you agree:

• To provide accurate and up-to-date information
• To maintain only one account per person
• To keep your login credentials confidential and secure
• To notify us promptly of any unauthorized access or use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are suspected of fraudulent activity.

5. Account Deletion and Data Retention

You may delete your account at any time via the App settings. Upon account deletion:

• All personal data and point balances associated with your account will be permanently deleted
• One exception applies: the referral code you created may be retained for backend integrity, but it will be permanently dissociated from your identity and anonymized in our systems

Referral codes must not contain:

• Your real/legal name
• Obscene, vulgar, hateful, threatening, offensive, racist, sexist, or derogatory language
• Slurs or coded equivalents of hate speech
• Sexual references or profanity
• Trademarked terms or impersonation of public figures

Any violation of these conditions will result in removal of the referral code and may lead to suspension of your account.

6. Virtual Points, Mining, and Limitations

The Sprout Network App offers a gamified mining simulation. Key rules include:

• Users initiate a 24-hour simulated mining session by watching a full video advertisement
• Sessions not started via a complete ad view will not activate
• Users earn "SPROUT" points (a placeholder name for a virtual currency with no current monetary value)
• Points are not real money, crypto, or property
• SPROUT points cannot be redeemed, sold, exchanged, or transferred within the App or for real-world goods or currencies
• The App will never support wallets, blockchain transactions, or on-chain functionality
• Any future conversion or use of SPROUT on external blockchain platforms (if developed) will be conducted independently of the App and is not guaranteed

Users are prohibited from transferring SPROUT points to others or using SPROUT for off-platform transactions in any manner that implies real-world value.

7. Advertisements, Subscriptions, and Monetization

The App is monetized via advertisements. By using the Service, you agree to:

• View a full ad to begin mining sessions
• Watch additional ads to activate "Boost" functionality
• See banner ads throughout the App
• Participate in future optional subscription services which may:
  • Remove ads
  • Unlock cosmetic enhancements such as profile icons or badges
  • Provide user experience customizations

Subscription features will not affect point earning rates or token allocation.

All in-app purchases are processed through Apple or Google's secure billing systems. Growth Chain LLC does not store or process payment information directly.

8. Acceptable Use Policy

You agree not to:

• Use bots, emulators, automation, or scripts to simulate activity
• Create multiple accounts, impersonate others, or forge headers
• Violate the integrity of referral systems or fraudulently inflate earnings
• Sell, transfer, or purchase accounts
• Post or use referral codes, nicknames, usernames, or profile descriptions that include:
  • Offensive language
  • Hate speech or slurs
  • Racist, sexist, or xenophobic terms
  • Graphic, explicit, or violent content
  • Trademarked names or impersonations

Growth Chain reserves the right to delete any content or suspend accounts that violate this section.

9. Community and User Content

While Sprout Network currently does not offer in-app chat, forum, or direct messaging features, the following terms will apply should such functionality be introduced:

• Users may not post any content that is illegal, abusive, defamatory, obscene, threatening, or discriminatory
• Growth Chain reserves the right to moderate, edit, or remove content at our discretion
• Users must not harass, impersonate, or mislead others through profile information or messages
• All community features must be used in accordance with these Terms

Participation in any third-party Discord server is optional and not affiliated with Growth Chain LLC.

10. Intellectual Property

The App, logo, codebase, visual assets, user interface, and all intellectual property therein are the exclusive property of Growth Chain LLC or its licensors. You agree not to copy, reproduce, distribute, modify, or create derivative works of the App or its content without our written permission.

11. Data and Privacy

We collect and store the following types of data:

• Email address (used for account creation and login)
• Nickname (chosen by the user; legal names are not required or encouraged)
• Device data (e.g., model, OS version, device ID)
• Usage data (e.g., feature interactions, sessions, mining activity, and points earned)
• App-generated data (e.g., badges, mining history, referral counts)
• Cookies and tracking data via AdMob and analytics providers
• Authentication data from Apple or Google (may include email or profile info, depending on user settings)

We do not request or collect:

• Legal names
• Exact GPS location
• Addresses
• Government IDs

We use the following third-party services, which may collect anonymized or technical data under their own policies:

• Google Firebase and Firestore
• Google Analytics
• Apple Analytics
• AdMob
• Expo Go

By using the App, you consent to these practices as detailed in our Privacy Policy.

12. Termination

We may, at our sole discretion, suspend, restrict, or terminate your access to the App and your account at any time, with or without notice, for:

• Violation of these Terms
• Suspicious activity or fraudulent behavior
• Use from restricted countries
• Attempts to interfere with the Service, its systems, or other users

Upon termination, all associated points, badges, and session progress will be deleted and cannot be recovered.

13. Disclaimers

The Sprout Network App is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding:

• The availability, security, or accuracy of the App
• The continuity of point earning
• The future utility of points
• The accuracy or reliability of data collected

You assume full responsibility for using the App and release Growth Chain from any liability associated with your use.

14. Limitation of Liability

To the maximum extent permitted by law:

• Growth Chain LLC shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits or data
• Growth Chain shall not be liable for damages resulting from third-party services, including AdMob, Firebase, or Google/Apple SDKs
• Your sole and exclusive remedy for dissatisfaction with the App is to stop using the Service

15. Arbitration and Class Action Waiver

All disputes arising out of or relating to these Terms or the App shall be resolved exclusively through binding arbitration conducted in the State of Florida, under the rules of the American Arbitration Association.

• You waive the right to bring or participate in any class, collective, or representative action
• Each party agrees to bring claims only in their individual capacity
• This provision survives termination of your account and use of the Service

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

Any legal proceedings arising under these Terms that are not subject to arbitration shall be brought in a court of competent jurisdiction located in Florida, USA.

17. Restricted Jurisdictions

Growth Chain prohibits access to its App by any person located in, residing in, or associated with the following U.S. embargoed or sanctioned jurisdictions:

• North Korea (Democratic People's Republic of Korea)
• Iran (Islamic Republic of Iran)
• Syria (Syrian Arab Republic)
• Cuba
• Crimea region of Ukraine
• Donetsk People's Republic (DNR)
• Luhansk People's Republic (LNR)

We will block access and suspend accounts from these regions as required by U.S. law.

18. Regulatory and Platform Compliance

The Sprout Network app is designed as an entertainment and community engagement platform that allows users to earn non-transferable points ("SPROUT") through simulated participation. These points have no monetary value, are not redeemable for currency, goods, or services, and cannot be bought, sold, traded, or withdrawn. SPROUT does not represent an ownership interest, investment contract, commodity, or security under applicable U.S. laws and regulations, including but not limited to the Securities Act of 1933, the Securities Exchange Act of 1934, and the Commodity Exchange Act. Users should not interpret any content within the app or its marketing materials as offering financial returns, profit expectations, or future redemption value.

The Sprout Network app does not function as a digital wallet, exchange, or marketplace, and does not support on-chain transactions, token transfers, or decentralized finance (DeFi) services. All activity within the app is off-chain and entirely internal to the app's closed ecosystem. Any future development involving tokenization, blockchain migration, or asset utility will occur outside of the app environment and through separate, compliant mechanisms, if pursued.

The app is free to use and supported by advertising. Full ad viewing is required to initiate certain app sessions, in compliance with Google AdMob and Apple App Store monetization guidelines. We do not encourage or permit any circumvention of ad engagement, and all ad experiences are clearly labeled.

Growth Chain LLC reserves the right to restrict access from jurisdictions subject to U.S. sanctions or where such services may be unlawful, including North Korea, Iran, Syria, and other restricted territories. Users must be at least 18 years old and agree to abide by all applicable laws when using the app.

20. Entire Agreement

These Terms, along with our Privacy Policy, represent the complete agreement between you and Growth Chain LLC regarding your use of the App and supersede all prior or contemporaneous understandings.
